Terms of Sale and Shipping Policy

1. Scope and Applicability
These Terms of Sale and Shipping Policy (these “Terms of Sale”) sets out the terms on which you may order the products available (“Products”) on the au.getneuro.com website (“Site”) and governs the rules under which Philip Morris Limited (“Company”, “we”, “us”, or “our”) processes and fulfills orders placed through such Site.
The Terms of Sale will become binding on you when you submit an order for the Products via the Site and will be incorporated into the contract between you and us in relation to such order for Products ("Contract").
These Terms of Sale forms an integral part of the Terms of Use (“ToU”) and is to be read in conjunction with the Cancellation, Return and Refund Policy (“CRRP”). All capitalised terms used herein shall have the meanings ascribed to them in the ToU, unless otherwise expressly defined. In the event of any inconsistency or conflict between these Terms of Sale and the ToU, the provisions of the ToU shall prevail to the extent of such inconsistency.

Eligibility

You must be a resident of Australia and at least 15 years old to place an order for the Products via the Site (an "Order").

You will need to register an account with us on the Site in order to purchase or reserve Products (as applicable) through the Site ("Account"). In order to register an Account and purchase or reserve Products (as applicable), you must be aged 15 or over. If you register an Account, you will be asked to provide certain information (such as your date of birth and email address) and to create a password, as part of our security procedures. You must treat such the password as confidential and you must not disclose it to any third party. Once you register an Account, you will be a "Registered User".

Please note that any purchases made through the Site are intended for domestic, private and non-commercial use. You should only make purchases from the Site if you are an individual and acting for purposes that are wholly or mainly outside of your employment, trade, business, craft or profession (a "Consumer"). By making a purchase through the Site and accepting these conditions laid down in this document, you represent and warrant to us that (i) you are aged 15 years or over, (ii) you are acting as a Consumer and not for purposes relating to your employment, trade, business, craft or profession, and (iii) you will ensure that the Products are not used or accessed by persons under 15 years of age.
Orders

In order to submit an Order via the Site you must first register an Account and then follow the procedure set out on the Site to submit your Order. The order process allows you to check and amend any errors before submitting your Order. Please check your Order carefully before confirming it, as once your order is submitted, we will be processing it. You are responsible for ensuring that your Order is complete and accurate.

Your Order constitutes an offer to us. When you place an Order, we will send you an email acknowledging receipt of your Order ("Order Acknowledgement"). Please note, the Order Acknowledgment does not constitute acceptance of your Order.

On dispatch of your Order, we will send you a confirmation email ("Confirmation Email"). Once you receive the Confirmation Email, these Terms of Sale, the CRRP and the Order will become legally binding on you and us and each Order shall incorporate these Terms of Sale and the CRRP and shall be a new and separate Contract between you and us. Payment will also be taken upon your Order being confirmed by us.
Delivery

The costs of delivery will be as displayed to you on the Site.

We will provide you with a delivery estimate during the Order process and will confirm such delivery estimate in the Confirmation Email.

The Product will be your responsibility from the time we deliver the Product to the address you provided to us. You own the Product once we have received payment in full.
Payment

The prices for the Products and delivery are set out on the Site, inclusive of additional taxes.

You shall pay for the Products using one of the payment methods set out in the Order process (the "Payment Methods"). You confirm that the card or bank account which is being used is yours, or that you have the authorisation of the account holder to use it. If you use a Payment Method which you are not authorised to use, you will be liable to us for any losses that we suffer as a result of your use of that Payment Method.

It is always possible that, despite our best efforts, some of the Products may be incorrectly priced. We will normally check prices before accepting your Order so that, where a Product's correct price at the time of your Order is less than our stated price at that time, we will charge the lower amount. If the Product's correct price at the time of your Order is higher than the price stated to you, we will contact you for your instructions before we accept your Order. If we accept and process your Order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the Contract and refund you any sums you have paid.

If your payment is not authorised, your Order will not be fulfilled.
Cancellation, Returns and Refunds
Cancellations, returns and refunds are processed in accordance with the CRRP.
Products

The images of the Products on the Site are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that a device's display of the colours accurately reflects the colour of the Products. Your Product may vary slightly from those images.

The packaging of the Products may vary from that shown in images on the Site.
Liability

Nothing in these Terms of Sale excludes or limits our liability for:

Death or personal injury caused by our negligence;

Fraud or fraudulent misrepresentation; and
-
Any matter in respect of which it would be unlawful for us to exclude or restrict our liability.

If we fail to comply with these Terms of Sale, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms of Sale or our negligence, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if it was an obvious consequence of our breach or if it was contemplated by you and us at the time that the Contract between you and us for your Order became binding (i.e. when the Confirmation Email for that Order was issued).

We are under a legal duty to provide you with Products that are in conformity with the terms applying to your Order. Nothing in these Terms of Sale affects your statutory rights.

We only supply Products for domestic and private use. You agree not to use the Products for any commercial or business purposes and we have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

Notwithstanding clause 1.22, and save as set out in clause 1.21, our maximum liability to you under these Terms of Sale in respect of any particular Order will be limited to the value of that Order (which includes any delivery charges) as set out in the relevant Confirmation Email.

If you breach any of these Terms of Sale, we may immediately do any or all of the following (without limitation):

Issue a warning to you;

Temporarily or permanently withdraw your right to use the Site;

Suspend or terminate your Account;
-
Issue legal proceedings against you for reimbursement of all costs resulting from the breach (including, but not limited to, reasonable administrative and legal costs);

Take further legal action against you; and/or
-
Disclose such information to law enforcement authorities as we reasonably feel is necessary to do so.

If we end a Contract in the situations set out in clause 1.25, we will refund any money you have paid in advance for Products we have not provided but we may deduct or charge you reasonable compensation for the net costs we will incur as a result of your breaching the Contract.
Changes to these Terms and Conditions

We may make changes to these Terms of Sale from time to time but those applicable at the time of your Order will apply to that Order. Please check the Terms of Sale and the ToU regularly to ensure that you understand those terms that apply at the time that you access and use the Site and/or order the Products.

If you do not wish to continue using the Site following the changes to the Terms of Sale and/or the ToU, you can cancel your agreement to the Terms of Sale and/or the ToU by cancelling your Account.
Other important information

Each of the clauses of these Terms of Sale operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining clauses will remain in full force and effect.

If we fail to insist that you perform any of your obligations under these Terms of Sale, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. If we do waive a default by you, we will only do so in writing, and that will not mean that we will automatically waive any later default by you.
Governing law and jurisdiction

These Terms of Sale, your access to and use of the Site, your purchasing of Products, and any dispute or claim arising out of or in connection therewith (including non-contractual disputes or claims) will be governed by the laws of Australia without reference to principles of conflict of laws. You agree to be bound by such laws and to submit to the jurisdiction of the courts of Australia in connection with the interpretation or application of these Terms of Sale.

3. Shipping Territory
We ship exclusively within Australia. Orders placed for delivery outside of Australia will not be processed. The Company does not offer international shipping. Orders placed with a non-Australian delivery address will be automatically cancelled and refunded.
4. Dispatch and Delivery
Dispatch Timeline. Orders are typically processed and dispatched within 2-4 business days, excluding weekends and statutory holidays. Dispatch times may vary based on product availability, order volume, and other operational considerations.
Carrier and Tracking. We partner with reputable national carriers. Once your order is dispatched, you will receive a shipping confirmation email containing a tracking number and link to monitor delivery status.
Estimated Delivery Time. Estimated delivery times range depending on the selected modality and depending on the destination within Australia. All delivery timelines provided are estimates only and do not constitute a contractual obligation. The Company disclaims any liability for delays that do not result from its gross negligence or willful misconduct.
Currently, we offer:

Express – shipping within 2-4 business day from purchase;

Delivery Address Accuracy. You are solely responsible for providing accurate and complete shipping information. The Company shall not be liable for delays, misdeliveries, or losses resulting from incorrect or incomplete address details.
Risk of Loss. To the full extent permitted by law, title and risk of loss for all products shall pass to the customer upon the Company’s delivery of the products to the designated carrier. Thereafter, the Company shall bear no responsibility for loss, damage, or delay.
5. Delivery Exceptions and Delays
Force Majeure. The Company shall not be liable for any delay or failure in delivery due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, labor disputes, governmental actions, pandemics, transportation disruptions, or other events of superior force beyond the Company’s reasonable control.
Shipping Discrepancies. If your order is delayed, incomplete, or incorrect, you should notify us at au.getneuro.com/pages/contact within 48 hours of delivery. We will investigate and, where appropriate, arrange for redelivery, replacement, or refund in accordance with the CRRP.
6. Packaging and Handling
All products are shipped in sealed packaging to ensure integrity and protection during transit. If you receive a package that appears tampered with or damaged, you are advised to refuse delivery and notify us immediately.
7. Undeliverable Packages
If a package is returned to the Company due to an incorrect address, refusal of delivery, or failure to collect, the customer shall be responsible for any reshipping fees. Refunds, if applicable, shall be issued net of original shipping costs.
8. Shipping Fees
Shipping fees are flat rates, with options of Standard or Express shipping. All fees are quoted in AUD and are inclusive of applicable taxes unless otherwise stated.
9. Right to Amend
The Company reserves the right to amend these Terms of Sale at any time, with or without prior notice.
10. Australian Consumer Law
Our goods come with guarantees that cannot be excluded under the Australian Consumer Law (ACL). You are entitled to a replacement or refund for a major failure and to compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced where they fail to be of acceptable quality and the failure does not amount to a major failure.
Nothing in these Terms of Sale excludes, restricts or modifies any rights or remedies that you may have under the ACL or any other applicable law.
11. Passing of Risk and Title of Products
Notwithstanding any other provision in these Terms of Sale, risk in the Products passes to you only upon delivery to you or your nominated delivery address.
Any provision stating that risk transfers at an earlier point (including delivery to a carrier) applies only to the extent permitted by applicable law and will not override your rights under the ACL.
Title to the Products passes to you once full payment has been received and the Products have been delivered.
12. Delivery Timeframes and Performance
Delivery Timeframes.
Any delivery timeframe provided is an estimate only. However, the Company will deliver Products within a reasonable time as required under the Australian Consumer Law.
Where delivery is not made within a reasonable timeframe, you may be entitled to cancel the Contract and receive a refund in accordance with your rights under the ACL.
13. Non-Delivery and Lost Shipments
Non-Delivery.
Where a Product is not delivered within a reasonable period, or is confirmed lost in transit, the Company will investigate and, where appropriate, provide a replacement or refund at no additional cost to you.
You should notify the Company of any non-delivery within a reasonable time after the expected delivery date.
14. Incorrect, Missing or Damaged Goods
Shipping Issues.
If you receive a Product that is incorrect, incomplete, or damaged, you should notify the Company as soon as reasonably practicable using the contact details set out in these Terms of Sale.
The Company will assess the issue and provide an appropriate remedy, including repair, replacement, or refund, in accordance with the ACL.
Any requirement to notify within a specified timeframe does not limit or affect your statutory rights under the ACL.
15. Consumer Guarantees (Delivery and Supply)
Consumer Guarantees.
The Company guarantees that Products supplied will:

Be delivered within a reasonable time;

Match the description provided at the time of purchase;

Be of acceptable quality upon delivery.
If these guarantees are not met, you are entitled to remedies as provided under the ACL.
16. Limitation of Liability (ACL Override)
Any limitation of liability in these Terms of Sale is subject to the ACL and will not apply to the extent that such limitation would be unlawful.
Where liability cannot be excluded, it is limited to the maximum extent permitted by law.
17. Pricing and Mispricing
The Company takes reasonable care to ensure pricing displayed on the Site is accurate at the time of publication.
Where a pricing error is identified prior to dispatch, the Company may:

Cancel the Order and issue a full refund; or
-
Contact you to confirm whether you wish to proceed at the corrected price.
This clause does not limit any rights you may have under the ACL in relation to misleading or deceptive pricing.
18. Complaint Handling and Customer Support
Customer Complaints.
The Company is committed to handling complaints in a fair, timely, and transparent manner.

The Company will endeavour to resolve all complaints promptly and in accordance with its obligations under the ACL.
